Canon U. S. A., Inc. is currently seeking an experienced Technology Counsel (Counsel) to join our Legal Division, at our Corporate Headquarters in Melville, NY.
We are looking for a motivated attorney to support Canon's Information Technology Division and software business development projects. This position is primarily responsible for negotiating and drafting software license, maintenance, distribution and service agreements; providing legal guidance to Canon's IT divisions and other business units; conducting complex contracts negotiations and otherwise supporting a wide range of commercial transactional matters.
This position requires a Juris Doctor degree and the candidate must be a member in good standing of the New York State Bar. The ideal candidate will have 8 to 10 years of experience handling licensing and commercial transactions. In-house experience is preferred, but law firm experience will be considered. Candidates should have a solid background in drafting and negotiating software licenses (including cloud, SaaS, and hosted services agreements) and related out-bound technology transactions agreements. Candidate must be well organized and able to manage numerous projects simultaneously. Canon prefers to hire a motivated attorney with excellent interpersonal skills with a strong team orientation. The candidate must have practical working knowledge of how a legal department interacts with sales and other departments. Must be able to work with minimal supervision and use Microsoft Office components without the need for other administration support. Knowledge of or experience with HIPAA, HITECH and their implementing regulations is a plus.
